These Terms of Service (“Terms”) govern the provision of services by Wells Dental Equipment Services (WDES), including all work scheduled through verbal agreements, phone calls, web forms, or other communications, and apply to all clients, practices, and entities served.

By engaging with WDES for service, consultation, or equipment-related labor, you agree to the following terms:


1. Service Completion and Technician Discretion

All services, repairs, installations, and maintenance work are performed at the sole discretion of the technician, based on:

  • The condition and accessibility of equipment,
  • The availability of necessary parts, tools, or materials, and
  • The technician’s professional judgment regarding safety, feasibility, or regulatory compliance.

WDES reserves the right to reschedule, decline, or delay work when necessary due to limitations in labor, supply chain availability, or unforeseen equipment issues.


2. Travel Policy and Prepayment for Distant Service Calls

For service requests located more than two (2) hours from our primary service area, the following applies:

  • A travel fee will be applied to cover time, fuel, lodging, and additional operational costs.
  • A partial prepayment of up to 50% of the labor cost may be required prior to the start of any work. This ensures coverage for necessary travel accommodations and confirms scheduling.

Travel fees and prepayments are non-refundable once work is scheduled, except in the event of cancellation by WDES due to technician unavailability or extreme circumstances.


3. Verbal Agreements and Scope of Work

All agreements for services are established through verbal communication between the technician and the client or authorized staff of the practice.

Verbal agreements include:

  • The scope of work to be completed,
  • Estimated timeframes and labor involved,
  • Any associated travel or equipment fees.

WDES may follow up with written documentation, but unless otherwise stated, all labor begins upon mutual verbal consent and understanding between both parties.


4. Warranty Disclaimer

Unless otherwise agreed to in writing, WDES does not offer warranties—express or implied—on services performed or parts installed.

Clients are responsible for verifying:

  • The operability of third-party equipment,
  • Manufacturer warranties (if applicable),
  • Ongoing maintenance after service completion.

WDES provides best-effort service based on 40+ years of industry experience, but does not guarantee long-term performance of aging, previously modified, or unsupported equipment.


5. Limitation of Liability

WDES is not liable for:

  • Pre-existing issues with client-owned equipment,
  • Delays due to third-party part shipping or backorders,
  • Indirect or incidental damages (e.g., loss of business income from equipment downtime).

6. Modifications to Terms

WDES reserves the right to update these Terms of Service at any time. Updates will be reflected on WDES.pro and communicated as needed during scheduling or service delivery.
